Stravos Website Terms and Conditions

Acceptance of Terms

These Terms and Conditions (“Terms”) govern your use of the Stravos website (the “Site”), operated by Stravos Holdings LLC (doing business as “Stravos”). By accessing or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (described below). If you do not agree with any part of these Terms, do not use the Site. The Site is provided for general informational purposes only, and your use of it does not create any professional or business relationship between you and Stravos.

You represent that you are at least 18 years old (or the age of majority in your jurisdiction). The Site is not intended for use by minors. In compliance with the U.S. Children’s Online Privacy Protection Act (COPPA), we do not knowingly collect any personal information from anyone under 13 years of age. If you are under 13, please do not use this Site or submit any information.

Changes to Terms

Stravos reserves the right to modify or update these Terms at any time, at our sole discretion, without prior notice. It is your responsibility to review these Terms periodically for changes. We will update the “Last Updated” date on this page when revisions are made. Your continued use of the Site after any changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should stop using the Site.

Permitted Use of the Site

We grant you a limited, revocable license to access and make personal, non-commercial use of the Site. The Site and all content therein are provided for general informational purposes to inform you about our government contracting (“GovCon”) services. You may use the Site only for legitimate purposes such as learning about our services or submitting inquiries through the provided contact form. Any other use of the Site contrary to its intended purpose or these Terms is strictly prohibited.

Prohibited Conduct

When using our Site, you agree not to engage in any of the following prohibited activities:

  • Illegal or Harmful Use: Do not use the Site for any unlawful, fraudulent, or malicious purpose. You shall not post or transmit via the contact form any content that is unlawful, defamatory, obscene, harassing, threatening, or otherwise objectionable (e.g. hate speech or content that violates any law).

  • Unauthorized Access: Do not attempt to gain unauthorized access to any portion of the Site, our servers, or any related systems or networks. You must not probe, scan, or test the vulnerability of the Site or breach any security or authentication measures. Any attempts to damage or disrupt our infrastructure (e.g. by introducing viruses or malicious code) are strictly prohibited.

  • Interference and Scraping: Do not interfere with or disrupt the proper working of the Site or use any robot, spider, crawler, scraper, or other automated means to access or extract data from the Site without our express permission. You also agree not to impose an unreasonable or disproportionately large load on our infrastructure.

  • Impersonation and Misrepresentation: Do not impersonate any person or entity (including Stravos or its employees), or misrepresent your affiliation with any person or entity when using the Site. All information you provide must be truthful and accurate; you may not use the contact form to submit false or misleading information.

  • Intellectual Property Infringement: Do not upload, submit, or transmit any content that infringes upon the intellectual property or other rights of any party. This includes unauthorized sharing of copyrighted materials, trademarks, or proprietary information belonging to others.

  • Spam and Commercial Solicitations: You may not use the Site to transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or pyramid schemes. The contact form is provided only for genuine inquiries about our services, and any commercial solicitations or mass mailings through it are forbidden.

Stravos reserves the right to monitor use of the Site and to investigate and take appropriate action (including terminating access, blocking IP addresses, or contacting law enforcement) against any user who violates the above prohibitions or any other provision of these Terms.

Contact Form and User Submissions

The only means for users to interact with Stravos on this Site is through our contact inquiry form. By submitting an inquiry via the contact form, you agree to the following:

  • Provide Accurate Information: You will only submit truthful, accurate, and current contact information (such as your name, email address, phone number, and any other requested details) so that we can respond to your inquiry. You shall not use false identities or someone else’s information.

  • No Confidential or Sensitive Data: Do not include any sensitive personal information (e.g. Social Security numbers, financial account details) or any confidential/proprietary information in your message. The contact form is for general inquiries and is not a secure channel for transmitting secret or confidential data. We do not guarantee confidentiality for information submitted through the website. Unless expressly agreed in a separate written agreement, any information or materials you submit via the Site will be considered non-confidential and non-proprietary.

  • License to Use Submissions: By sending us any ideas, suggestions, questions, or other material through the Site, you grant Stravos a worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, or otherwise exploit your submission for any purpose, without compensation or attribution to you. This license allows us (for example) to respond to your inquiries, improve our services, and use any feedback you provide. You represent and warrant that you have the right to share the content of your submission with us and that doing so does not violate any rights of any third party.

  • No Professional Advice or Contract Formation: Communications sent through the Site (including responses you may receive from Stravos) are for informational purposes only and shall not be construed as legal, financial, or professional advice. Using the contact form or communicating with us via the Site does not create a client, contractor, or any other professional relationship between you and Stravos. Specifically, submitting an inquiry does not create any binding agreement or obligation for Stravos to provide services. Any engagement of Stravos for services will require a separate mutually signed contract.

  • No Guarantee of Response: While we strive to reply to legitimate inquiries in a timely manner, we are under no obligation to respond to every submission. We reserve the right to ignore or discard any messages that we suspect to be spam, abusive, or otherwise inappropriate, or that do not pertain to our business. You accept that submitting an inquiry does not guarantee any specific action or reply from us.

By using the contact form, you agree to use it only for its intended purpose. Misuse of the contact form (such as sending unlawful content or unsolicited advertisements) is a violation of these Terms and may result in us taking restrictive actions on your ability to use the Site.

Privacy and Data Use

  • International Users: Our Site is operated from the United States. If you are visiting or using the Site from outside the United States, be aware that any information you provide will be transferred to and processed in the U.S. By using the Site or providing us with your information, you consent to the transfer, processing, and storage of your information in the United States, which may have different data protection rules than your country. Those who access the Site from outside the U.S. do so on their own initiative and are responsible for compliance with local laws concerning data privacy and usage.

  • Privacy Policy: Additional details about how we handle personal information may be provided in a separate Privacy Policy on the Site. All company names, logos, product and service names, and slogans on the Site are trademarks or service marks of Stravos or its licensors. Stravos and the Stravos logo are proprietary trademarks of Stravos Holdings LLC. You are not granted any right or license to use any trademarks on the Site without our prior written permission.

User License: Stravos grants you a limited, non-exclusive, non-transferable license to access and use the Site and its Content for your own personal or internal business use, solely for the purpose of learning about our services or doing business with us. No other use of the content is authorized. Except as expressly permitted by fair use or other applicable law, you may not copy, reproduce, distribute, publicly display, perform, publish, upload, post, transmit, create derivative works from, or otherwise exploit any portion of the Site or Content without prior written consent from Stravos.

THE SITE AND ALL CONTENT, FEATURES, AND SERVICES ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE” without any warranty of any kind, either express or implied. Stravos makes no representations or warranties of any kind, express or implied, as to the operation of this Site or the information, content, or materials included on the Site. You expressly agree that your use of the Site is at your sole risk. Stravos is a GovCon company providing business services to clients under separate agreements; any content on this Site is general in nature. Third-Party Content and Links: The Site may include content provided by third parties or links to external websites for your convenience. Stravos does not control and is not responsible for any third-party content or websites, and we make no warranties or endorsements regarding any third-party information, products, or services. Limitation of Liability

To the fullest extent permitted by law, Stravos and its affiliates, officers, employees, and agents shall not be liable for any damages of any kind arising out of or in connection with your access to, or use of (or inability to use), the Site or any Content. This comprehensive limitation of liability applies to all damages of any kind, whether direct, indirect, incidental, consequential, special, exemplary, or punitive, including without limitation damages for lost profits, loss of data, loss of goodwill, service interruptions, computer damage, or system failure. Stravos shall not be liable for any claims, liabilities, or losses arising from your use of third-party links or contenton the Site, or your interactions with other users of the Site (if any). You specifically acknowledge that Stravos is not liable for the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

If you are dissatisfied with the Site, any content on the Site, or these Terms, your sole and exclusive remedy is to discontinue use of the Site. In no event shall Stravos’s total cumulative liability to you for any and all claims relating to or arising out of your use of the Site exceed the greater of the amount (if any) you paid to Stravos for the specific service or product at issue, or US $100.00. Because some states or jurisdictions do not allow the exclusion or limitation of certain damages, in such states Stravos’s liability shall be limited to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Stravos Holdings LLC, its affiliates, and each of their respective officers, directors, members, employees, contractors, agents, and representatives (“Indemnified Parties”) from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in connection with any of the following: (a) your use of the Site or any content obtained from the Site; (b) your violation of any provision of these Terms; (c) any information, data, or materials you submit to the Site (including allegations that such information infringes or misappropriates the intellectual property or privacy rights of a third party); or (d) your violation of any law or regulation or the rights of any third party in connection with your use of the Site.

Stravos reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to fully cooperate with Stravos in asserting any available defenses). This indemnity obligation will survive the termination or expiration of these Terms and your use of the Site.

Governing Law and Jurisdiction

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict of law principles. By using the Site, you expressly agree that any dispute or claim arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state or federal courts located in the State of North Carolina. You consent to the personal jurisdiction of such courts and waive any objections on the grounds of venue or inconvenient forum, agreeing not to assert that any such court is an improper or inconvenient venue.

To the extent permitted by law, you also agree that you will not bring or participate in any class-action lawsuit against Stravos and that any disputes will be resolved only on an individual basis. You waive any right to a jury trial in any legal proceeding arising out of or related to these Terms or the Site, to the extent such waiver is enforceable under applicable law.

Termination of Use

Stravos reserves the right, in its sole discretion, to suspend or terminate your access to all or part of the Site at any time, with or without notice, for any reason, including without limitation if we believe you have violated these Terms or applicable law. In addition, we may, at our sole discretion, discontinue the Site or any part thereof, or cease supporting it, at any time. If your use of the Site is terminated or suspended, you must immediately cease all use of the Site and destroy any materials (electronic or otherwise) obtained from the Site that are in your possession. The provisions of these Terms which by their nature should survive termination (such as intellectual property rights, disclaimers, limitation of liability, indemnification, governing law, etc.) shall survive any expiration or termination of these Terms.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the narrowest extent required to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms without affecting the validity of the rest of the Terms.

Waiver

No waiver by Stravos of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term, and any failure of Stravos to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. To be legally binding, any waiver of these Terms by Stravos must be made in a signed writing by an authorized representative of Stravos.

Entire Agreement

These Terms (together with any other legal notices or policies explicitly incorporated herein, such as our Privacy Policy) constitute the entire agreement between you and Stravos with respect to your use of this Site, and supersede all prior and contemporaneous understandings, agreements, representations, or warranties, both written and oral, regarding the Site. You acknowledge that you have not relied on any representation or promise that is not expressly stated in these Terms.
